These Terms and Conditions ("Agreement") constitute a legally binding agreement between Just Write Creation (JWC), with its principal place of business, JWC, the Agency and the client for the provision of content marketing services. By engaging with our services, you agree to be bound by the terms and conditions outlined below.
The Agency will provide content marketing services as outlined in the agreed-upon project scope, including but not limited to content creation, strategy development, social media management, search engine optimization (SEO), and analytics reporting.
Any additional services not initially agreed upon will require a separate agreement and may result in additional charges.
Client agrees to pay the Agency the agreed-upon fee for services as detailed in the project proposal.
Payment will be made according to the payment schedule outlined in the project proposal, unless otherwise agreed upon.
In the event of any delay in payment, the Agency reserves the right to suspend services until payment is received.
The content created as part of the services remains the property of the Agency until full payment is received.
Once full payment is received, ownership of the content will transfer to the Client, and the Client will have the right to use the content for its intended purpose
Both parties agree to keep all non-public information obtained during the course of the engagement confidential.
This confidentiality obligation will continue even after the termination of the engagement.
The Client will provide all necessary information, access, and materials required for the completion of the services.
The Client will provide timely feedback and approvals as required for the Agency to proceed with the project.
Either party may terminate this Agreement with written notice in the event of a material breach by the other party.
In the event of termination, the Client agrees to pay for all services rendered up to the termination date.
The Agency's liability for any claim arising out of or related to this Agreement will not exceed the total fees paid by the Client. The Agency will not be liable for any indirect, incidental, consequential, or punitive damages arising from the services provided.
The Client agrees to indemnify and hold the Agency harmless against any claims, liabilities, or expenses arising from the Client's use of the content or services provided
This Agreement will be governed by and construed in accordance with the laws of Nigeria, without regard to its conflict of law principles.
This Agreement constitutes the entire understanding between the parties and supersedes all prior agreements, understandings, and representations. By engaging with our services, you acknowledge that you have read, understood, and agreed to abide by these terms and conditions. This Agreement may be modified only in writing and signed by both parties.
